EULA - End User License Agreement

Notice to users: carefully read the following legal agreement. Use of the "FILELOCATOR PRO" software provided with this agreement constitutes your acceptance of these terms. If you do not agree to the terms of this agreement, do not install and/or use "FILELOCATOR PRO". User's use of this "FILELOCATOR PRO" is conditioned upon compliance by user with the terms of this agreement.

This license agreement covers use and distribution for all existing versions of "FILELOCATOR PRO".

1. License Grant

David Vest, the author of "FILELOCATOR PRO", grants you a license to use one copy of the version of the "FILELOCATOR PRO" program (the "SOFTWARE") on any one hardware product for as many licenses as you purchase. "You" means the company, entity, or individual whose funds are used to pay the license fee. "Use" means storing, loading, installing, executing, or displaying "FILELOCATOR PRO". You may not modify "FILELOCATOR PRO" or disable any licensing or control features of the "FILELOCATOR PRO" except as an intended part of the "FILELOCATOR PRO" programming features. This license is not transferable to any other hardware product or other company, entity, or individual.

Single User License. A single user license will license one copy of "FILELOCATOR PRO" for use on any one computer at any one time.

Multi User License. A multi user license will license the specified number of copies of "FILELOCATOR PRO" for use on that specified number of computers at any one time. The number of copies allowed will depend upon the amount purchased for the specific registration key.

David Vest grants a FREE trial license for personal or corporate use of this software ("FILELOCATOR PRO") for the period of thirty (30) days from the date of installation. Following the trial period licenses for "FILELOCATOR PRO" MUST be purchased to continue legally using the product.

2. Ownership

"FILELOCATOR PRO" is owned and copyrighted by David Vest. Your license confers no title or ownership in "FILELOCATOR PRO" and should not be construed as a sale of any right in the "FILELOCATOR PRO". David Vest reserves all rights not expressly granted here.

3. Copyright

"FILELOCATOR PRO" is protected by United States copyright law and international treaty provisions. You acknowledge that no title to the intellectual property in "FILELOCATOR PRO" is transferred to you. You further acknowledge that title and full ownership rights to "FILELOCATOR PRO" will remain the exclusive property of David Vest and you will not acquire any rights to the "FILELOCATOR PRO" except as expressly set forth in this license. You agree that any copies of the "FILELOCATOR PRO" will contain the same proprietary notices which appear on and in the "FILELOCATOR PRO".

You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the licensed program, or any subset of "FILELOCATOR PRO", except as provided for in this agreement. Any such unauthorized use shall result in immediate and automatic termination of this license and may result in criminal and/or civil prosecution.

4. Distribution

David Vest grants non-profit distribution rights to any company/individual wishing to distribute, without charge, the COMPLETE "FILELOCATOR PRO" TRIAL INSTALLATION FILES. Any distribution MUST include ALL original TRIAL INSTALLATION FILES without modifications or additions. Registration keys, or any other means of bypassing the Trial license, must NOT be included as part of the distribution.

Unless explicit permission is requested and granted by the author ("David Vest") "FILELOCATOR PRO" may not be distributed for profit in any form.

5. Limited Warranty

"FILELOCATOR PRO" IS PROVIDED ON AN "AS IS" BASIS. DAVID VEST DISCLAIMS ALL WARRANTIES RELATING TO "FILELOCATOR PRO", WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER DAVID VEST NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF "FILELOCATOR PRO" SHALL BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE SUCH SOFTWARE, EVEN IF DAVID VEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. THE PERSON USING "FILELOCATOR PRO" BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF "FILELOCATOR PRO".

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSION MAY NOT APPLY TO YOU TO THE EXTENT THAT LIABILITY IS BY LAW INCAPABLE OF EXCLUSION OR RESTRICTION.

IN NO EVENT SHALL ANY THEORY OF LIABILITY EXCEED THE LICENSE FEE PAID TO DAVID VEST.

6. No Liability For Consequential Damages

IN NO EVENT SHALL DAVID VEST OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF "FILELOCATOR PRO", EVEN IF DAVID VEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL DAVID VEST'S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID BY YOU, IF ANY.

7. Refunds.

Refunds will only be issued in exceptional circumstances and solely at the discretion of the author ("David Vest"). You are therefore encouraged to fully evaluate "FILELOCATOR PRO" during the trial period before purchasing a license.

8. Support.

Support for "FILELOCATOR PRO" is available from the date of purchase for the support period specified during the purchase of the license (usually one year). Support is available via Email only.

9. Entire Agreement

This is the entire agreement between you and David Vest, which supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license.

Installing and using "FILELOCATOR PRO" signifies acceptance of these terms and conditions of the license.

If you do not agree with the terms of this license or if the terms of this license contradict with your local laws, you must remove "FILELOCATOR PRO" files from your storage devices and cease to use the product.

The terms of this license, as well as the "FILELOCATOR PRO" interface design are subject to change in future versions of "FILELOCATOR PRO".
10. DEFINITION OF SHAREWARE
Shareware distribution gives users a chance to try software before buying it. If you try a Shareware program and continue using it, you are expected to register.

Copyright laws apply to both Shareware and commercial software, and the copyright holder retains all rights, with a few specific exceptions as stated below. Shareware authors are accomplished programmers, just like commercial authors, and the programs are of comparable quality. (In both cases, there are good programs and bad ones!) The main difference is in the method of distribution.

Shareware is a distribution method, not a type of software. You should find software that suits your needs and pocketbook, whether it痴 commercial or Shareware. The Shareware system makes fitting your needs easier, because you can try before you buy. And because the overhead is low, prices are low also.
